These Terms & Conditions (the “Terms”) govern your access to and use of edgewaterandco.com (the “Site”) and any purchase you make from it. Please read them carefully. By browsing the Site, creating an account, or placing an order, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use the Site or place an order.

1. Who we are

In these Terms, “you” means the person browsing the Site or placing an order.
2. Acceptance and changes to these Terms
By using the Site or placing an order you accept these Terms, together with our Privacy Policy and any policy referenced within them, all of which form part of your agreement with us.
We may update these Terms at any time. The version in force is the one published on the Site at the moment you place your order, and that version governs your purchase. Changes are not applied retroactively to orders already accepted. We will update the “Last updated” date at the top of this page whenever we make a change. Your continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.
3. Eligibility
You may use the Site and place orders only if you are at least 18 years old and able to form a legally binding contract. By ordering, you confirm that you meet these requirements and that all information you give us is accurate and complete.
We do not knowingly collect information from children. If you believe a minor has provided us with personal information, please contact us so we can remove it.
4. Your account
You do not need an account to shop, but if you create one you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Tell us promptly at support@edgewaterandco.com if you suspect unauthorised use.
We may suspend or close an account that we reasonably believe has been used fraudulently, to abuse our returns policy, for resale without authorisation, or in breach of these Terms.
5. Products, materials and natural variation
We sell furniture made from natural and manufactured materials, including solid hardwood, veneer, stone, marble, rattan, cane, leather, faux leather, and woven textiles.
You should expect genuine variation between the photographs on the Site and the item you receive. This is a characteristic of the materials, not a defect:
- Wood varies in grain, knotting, mineral streaking and colour, and will change tone with age and light exposure.
- Stone and marble are unique in veining and pattern; no two slabs match.
- Leather carries natural marks, scarring and grain differences, and develops a patina with use.
- Textiles may vary in shade between production runs, and cushions soften and settle with normal use.
- Rattan and cane vary in tone and weave.
Screens render colour differently. We cannot guarantee that the colour shown on your device matches the finished item, and colour variation of this kind is not treated as a defect. If exact colour matching matters to your project, contact us before ordering.
Dimensions and weights published on the Site are nominal and subject to normal manufacturing tolerance. Please measure your space, doorways, stairwells and lifts before ordering. We are not responsible for an item that does not fit.
Product availability is not guaranteed. We may change, limit or discontinue any product at any time.
6. Pricing and pricing errors
All prices are shown in United States Dollars (USD) unless stated otherwise, and exclude shipping and applicable taxes, which are calculated and displayed at checkout before you confirm payment.
Prices may change at any time before you place an order. A change does not affect an order we have already accepted.
Pricing and description errors. Despite reasonable care, an item on the Site may occasionally be listed at an incorrect price or with an incorrect description. Where an error is obvious and could reasonably have been recognised by you as a mispricing, we are not obliged to supply the item at the stated price. If we discover an error affecting your order, we will contact you to ask whether you wish to proceed at the correct price or cancel. If we cannot reach you within a reasonable period, we will treat the order as cancelled and refund you in full.
7. Orders and order acceptance
Your order is an offer to buy, not a completed contract. The order confirmation email we send when you check out acknowledges that we received your order; it does not constitute acceptance.
A binding contract is formed only when we dispatch the item and send you a shipping confirmation. Until then, we may decline or cancel your order, in whole or in part, for reasons including:
- the item is out of stock or discontinued;
- a pricing or description error, as described in section 6;
- we are unable to obtain authorisation for your payment;
- we suspect fraud, unauthorised resale, or a breach of these Terms;
- we cannot ship to your delivery address; or
- the order exceeds quantity limits we have set.
If we cancel an order you have already paid for, we will refund the amount charged in full.
8. Payment
Payment is taken through our payment processors at checkout. We accept the payment methods displayed on the checkout page. By submitting payment details, you confirm that you are authorised to use the payment method presented.
We do not store your full card details. Payment card processing is handled by third-party providers subject to their own terms and security standards.
You are responsible for any bank fees, currency conversion charges or foreign transaction fees applied by your card issuer. These are outside our control and are not refundable by us.
We do not offer financing, instalment plans, lease-to-own arrangements or trade credit.
9. Shipping and delivery
Shipping charges are calculated at checkout based on your delivery address and the items in your order, and are shown before you confirm payment.
Method of delivery. Larger furniture ships by freight carrier. Freight delivery is made to your door or the kerbside at the delivery address. We do not offer white-glove delivery, in-home placement, assembly, room-of-choice service, or packaging removal. Please arrange help to bring items inside and, where required, to assemble them.
Scheduling. For freight shipments, the carrier will normally contact you to arrange a delivery appointment. You are responsible for providing accurate contact details and for being available at the agreed time. Charges arising from a missed appointment, redelivery, storage, or a refused delivery may be passed on to you or deducted from any refund.
Delivery estimates. Any delivery window shown at checkout, in your confirmation, or given by a carrier is an estimate, not a guarantee. Lead times vary with stock, carrier capacity and destination. We are not liable for loss or inconvenience caused by a delay in delivery.
Access. You are responsible for confirming that the item will fit through all access points and into the intended space. Where a delivery cannot be completed because of access limitations, the item may be returned to us and treated as a non-defective return under section 11, including the freight and restocking charges described there.
Title and risk. Risk of loss and damage passes to you on delivery to the address you supplied. Title passes when we have received payment in full.
Incorrect addresses. We ship to the address you provide at checkout. We are not responsible for orders delivered to an incorrect or outdated address supplied by you, and re-shipping costs will be your responsibility.
10. Inspection on delivery, damage and defects
This section is important. Freight carriers impose short claim windows on us, and we cannot recover a claim you report late.
Inspect your order at the time of delivery. Before signing the carrier's delivery receipt, examine the packaging and, where practical, the item itself.
- Visible damage: note it on the carrier's delivery receipt or bill of lading before signing, and photograph the packaging and the item. Signing a clean receipt for a visibly damaged shipment may prevent a claim from being recovered.
- Concealed damage or a manufacturing defect: report it to us within 48 hours of delivery.
How to report. Email support@edgewaterandco.com within 48 hours of delivery with your order number, a description of the problem, and clear photographs of the item, the damaged area, and the outer packaging. Please keep all original packaging until the matter is resolved, as carriers frequently require it for inspection.
Our response. Where damage or a manufacturing defect is reported within this window and verified, we will at our discretion arrange a replacement, a replacement part, a repair, or a refund. Where we provide a replacement or refund for a damaged item, we arrange and pay for its return.
After 48 hours. Reports of transit damage or defects made more than 48 hours after delivery may not be eligible for a claim. This time limit does not apply to, and does not limit, any right you have under section 14, and it does not displace any implied warranty that cannot lawfully be limited in your jurisdiction.
Damage caused after delivery — including by misuse, accident, unsuitable environment, exposure to weather where an item is not rated for outdoor use, improper assembly, alteration, commercial use of a product intended for domestic use, or normal wear — is not covered.
11. Returns, refunds and restocking
Return window. You may request a return within 30 days of delivery. Requests made after 30 days cannot be accepted.
Condition. Items must be unused, in original condition, and returned in their original packaging with all hardware, fittings and documentation included. Items that are soiled, damaged after delivery, assembled, modified, or returned without original packaging may be refused or subject to a further deduction.
Authorisation. Do not ship anything back before contacting us. Email support@edgewaterandco.com to request a return authorisation. Unauthorised returns may be refused or may not be refunded.
Cost of a non-defective return. Where you return an item because you have changed your mind, or it does not fit or suit your space:
- You pay the cost of return freight. Freight on furniture is substantial and frequently runs to several hundred US dollars depending on the item and your location. We will quote the cost before you commit, or you may arrange your own insured carrier.
- A restocking fee of 15% of the item price applies, and is deducted from your refund.
- Original outbound shipping is not refunded, including where the order originally qualified for free or discounted shipping. Where an order shipped free of charge, the shipping cost we actually incurred may be deducted from your refund.
These deductions do not apply where an item is damaged in transit or defective and reported under section 10, nor where you are exercising a statutory right of cancellation under section 14.
Items that cannot be returned. Custom, made-to-order, personalised, clearance and final-sale items, and gift cards, are not returnable except where faulty or where the law requires otherwise. Where an item is non-returnable, this is stated on its product page before you buy.
Refunds. Once your return is received and inspected, we will confirm the outcome and issue any refund to your original payment method, normally within 5–7 business days of inspection. Your bank or card issuer may take additional time to post the funds.
Returns in transit. Until we receive a returned item, it remains your responsibility. We strongly recommend an insured, tracked service. We are not liable for returns lost or damaged in transit where you arranged the carrier.
12. Order changes and cancellations
You may request a change or cancellation by emailing support@edgewaterandco.com. We will do our best to accommodate a request received before dispatch, but we cannot guarantee it: orders often enter fulfilment quickly, and custom or made-to-order items may enter production immediately.
Once an order has been dispatched it cannot be cancelled, and it is handled under section 11 or, where applicable, section 14.
An order refused at the point of delivery, or returned to us because delivery could not be completed for reasons within your control, is treated as a non-defective return under section 11.
13. International orders, duties and taxes
We currently ship to the United States and to Australia, Austria, Belgium, Canada, the Czech Republic, Denmark, Finland, France, Germany, Hong Kong SAR, Ireland, Israel, Italy, Japan, Malaysia, the Netherlands, New Zealand, Norway, Poland, Portugal, Singapore, South Korea, Spain, Sweden, Switzerland, the United Arab Emirates and the United Kingdom.
Duties, import VAT and customs charges. Unless the checkout expressly states that duties and import taxes have been collected from you in advance, you are the importer of record and are responsible for all customs duties, import VAT or GST, brokerage, clearance and handling fees levied by the destination country. These are set by your government, are not within our control, and are not included in the price you pay us.
Refused shipments. If you refuse to pay import charges and the shipment is returned or abandoned, we will refund the item price less outbound shipping, return freight, and any duties, storage or destruction charges we incur.
Customs delays. Clearance times are outside our control and are not grounds for a claim against us for delay.
Local compliance. You are responsible for ensuring that an item may lawfully be imported into your country. Electrical items, where sold, are supplied to United States voltage and plug standards unless expressly stated otherwise.
International returns. Return freight from outside the United States is expensive and is your responsibility under section 11 unless a statutory right under section 14 applies. Duties and taxes paid to your government are recoverable only from that authority, not from us.
14. Consumer rights that these Terms do not affect
Nothing in these Terms excludes, restricts or modifies any right or remedy you have under mandatory consumer protection law in your country of residence, where that law cannot lawfully be excluded. Where a provision of these Terms conflicts with such a right, that right prevails and the conflicting provision does not apply to you.
United Kingdom and European Union consumers. If you are a consumer resident in the UK or the EU, you have rights that apply in addition to, and where necessary in place of, the provisions above:
- a right to cancel most distance-sold orders within 14 days of receiving the goods, without giving a reason, and to a refund of the item price and standard outbound delivery. Where you cancel under this right, the 48-hour reporting window in section 10 and the 15% restocking fee in section 11 do not apply to you. You are normally responsible for the cost of returning the goods, and you may be liable for any diminished value resulting from handling beyond what is necessary to establish the nature and characteristics of the goods;
- a statutory right, generally lasting two years from delivery, to a remedy where goods are not as described, not of satisfactory quality, or not fit for purpose. This right is not limited by the 48-hour window in section 10.
United States consumers. Some states do not allow the exclusion of implied warranties or the limitation of certain damages. Where that is so, the exclusions and limitations in sections 15 and 20 apply to you only to the extent permitted by the law of your state, and you may have additional rights that vary by state.
Australian consumers. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.

15. Warranties and disclaimers
We warrant that goods sold through the Site will, at the time of delivery, correspond in material respects to their description on the Site and be free from defects in materials and workmanship that are reported to us in accordance with section 10.
We do not offer a separate extended or long-term product warranty. Any statement elsewhere on the Site suggesting a longer warranty period is superseded by this section, subject always to section 14.
Subject to section 14, and to the fullest extent permitted by applicable law:
- the Site and everything on it are provided on an “as is” and “as available” basis;
- we disclaim all other warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement;
- we do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that defects will be corrected;
- we do not warrant the accuracy, completeness or reliability of any content on the Site, including product descriptions, specifications, dimensions, availability, guides and articles. Content of that kind is provided for general information and is not professional advice.
No advice or information, oral or written, obtained from us or through the Site creates any warranty not expressly stated in these Terms.
16. Intellectual property
The Site and its contents — including the Edgewater & Co name and marks, text, photography, illustrations, layout, design, and the selection and arrangement of all of it — are owned by us or our licensors and are protected by copyright, trade mark and other intellectual property laws.
You may view, download and print material from the Site for your own personal, non-commercial use in connection with considering or making a purchase. You may not otherwise copy, reproduce, republish, distribute, sell, licence, frame, scrape, or create derivative works from any part of the Site without our prior written permission.
Any use of the Site or its contents other than as expressly permitted terminates the permission granted in this section.
17. Reviews and other content you submit
You may be able to submit reviews, photographs, ratings, comments or other material (“User Content”). You retain ownership of your User Content.
By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable and sub-licensable licence to use, reproduce, adapt, publish, translate and display it in any media, in connection with the Site and our marketing, without compensation to you.
You confirm that your User Content is your own or that you have all necessary rights to it, that it is accurate, and that it does not infringe anyone's rights or breach any law.
User Content must not be unlawful, defamatory, obscene, hateful, harassing, deceptive, or an infringement of privacy or intellectual property, and must not contain malware or unsolicited advertising.
We do not undertake to monitor User Content, and we may edit, refuse to publish or remove any User Content at our discretion. Views expressed in User Content are those of the person who submitted it, not ours.
18. Acceptable use
You agree not to:
- use the Site for any unlawful purpose or in breach of these Terms;
- submit false, fraudulent or misleading information, or place fraudulent orders;
- purchase for resale without our prior written authorisation;
- interfere with or disrupt the Site, its servers, or its security features;
- introduce viruses or other malicious code;
- use any robot, spider, scraper or automated means to access, monitor or copy the Site or its data without our written permission;
- attempt to gain unauthorised access to any part of the Site, any account, or any connected system;
- harvest personal information about other users; or
- impersonate any person or misrepresent your affiliation with any person.
We may restrict or terminate your access to the Site for any breach of this section.
19. Third-party links and services
The Site may link to, or incorporate services from, third parties, including payment processors, shipping carriers, review platforms and analytics providers. Those services are governed by the third party's own terms and privacy practices.
We do not control and are not responsible for third-party content, products, services or practices. A link is not an endorsement. Any dealings you have with a third party are between you and that third party.
20. Limitation of liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded. Section 14 also applies to this section.
Subject to the above, and to the fullest extent permitted by applicable law:
- we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, data, goodwill, or anticipated savings, however caused, whether in contract, tort (including negligence), strict liability or otherwise, and whether or not we were advised of the possibility of such loss;
- we are not liable for loss or inconvenience arising from delivery delay, carrier conduct, or a delivery that cannot be completed because of access limitations at your address;
- our total aggregate liability arising out of or in connection with an order is limited to the amount you actually paid us for the item giving rise to the claim.
Force majeure. We are not liable for any failure or delay in performing our obligations where that failure or delay results from events beyond our reasonable control, including acts of God, natural disaster, fire, flood, severe weather, epidemic, war, terrorism, civil unrest, labour dispute, carrier or supplier failure, port congestion, government action, sanctions, or failure of utilities or telecommunications.
21. Indemnification
You agree to indemnify and hold harmless Edgewater & Co, its owner, employees, agents and suppliers from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, your User Content, or your violation of any law or third-party right.
22. Governing law and venue
These Terms and any dispute arising out of or in connection with them or your order are governed by the laws of the State of New Jersey, United States, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and we agree that the state and federal courts located in Hunterdon County, New Jersey have exclusive jurisdiction, and you consent to the personal jurisdiction of those courts.
If you are a consumer resident outside the United States, this section does not deprive you of the protection of the mandatory laws of your country of residence, nor of any right you have to bring proceedings in the courts of that country where the law gives you that right.
23. General provisions
Entire agreement. These Terms, together with our Privacy Policy and any policy referenced in them, constitute the entire agreement between you and us regarding the Site and your order, and supersede any prior understanding on the same subject.
Severability. If any provision is held unenforceable, it is severed to the minimum extent necessary and the remaining provisions continue in full force.
No waiver. Our failure to enforce any provision is not a waiver of it or of any other provision.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations, including in connection with a sale of the business, without restriction.
No third-party beneficiaries. These Terms do not confer rights on anyone other than you and us.
Headings. Section headings are for convenience only and do not affect interpretation.
Notices. We may give notice by email to the address on your order or by posting on the Site. You should give notice to us at the email address in section 24.
Survival. Sections 15 through 23 survive termination of your use of the Site.
